字伯恭，尚書右丞好問之孫也。自其祖始居婺州。祖謙，學本家庭，有中原文獻之傳，長交張栻、朱熹，講索益精。初，䕃補入官，後舉進士，復中博學宏詞科，除太學博士、厯國史院編修、實錄院檢討。輪對，勉孝宗留意聖學，且言恢拓大事。久之，遷著作郎，以末疾，請祠歸。先是，書肆有書曰：「聖宋文海學士周必大，請委館職擇取，以成一代之書」。孝宗因命祖謙斷自南渡以前，類為百五十卷，賜名《文鑑》，進秩直祕閣。明年，除著作郎兼國史院編修。卒，年四十五，諡曰成。
